I, _________ of _________ county, _________, for and in consideration of the confidence I have and repose in _________, of the same county and state and of $_____ to me paid by _________, do by this means constitute and appoint _________ my lawful agent and attorney-in-fact, for me and in my name, place and stead, to act for and represent me in all and any transactions connected with the partnership business to be carried on by _________ and _________ in the purchase and sale of oil, gas, and mineral leases, also in the production, refining, transporting, and marketing of petroleum and its products, or interest in them, or any royalties or interest in them, or any land or interest in it, fully authorizing and empowering my agent and attorney-in-fact to make any purchases he [or she] may deem best and proper, and to make any sales he [or she] may deem best and proper, and to execute any and all deeds, notes, mortgages, releases of liens, sign and deliver any and all necessary instruments of writing required in the transaction of the partnership business; by this means ratifying and confirming any and all acts or things whatsoever done or to be done by my agent and attorney-in-fact in the premises and granting to my agent and attorney-in-fact full authority to do and perform any and all acts or things which I could do or perform if present and acting in person; it being contemplated that in the conduct of the partnership business many transactions will take place in the western part of _________ and also in _________, and as I shall remain in _________ county, in order to facilitate the business I deem it necessary to execute this power of attorney.
